First edition has a complete magic section. Second edition has very little detail on magic, not even a list of invocations. Some folks drop magic from Nightbane in; some use First Edition but use the proximity rules that applies to psychics for P.P.E. and then alter P.P.E. costs from first edition magic invocations.
First edition has a number of places of power in detail. Second edition has no such details.
First edition has more monsters than second edition.
First edition has an equipment list (albeit a very old one). Second edition has no equipment list.
First edition has some adventures in it and really cool "victim" rules. Second edition has none of these.
On and on.
Personally, I'd stick with the first edition. Get second edition if you have the money to burn because it does have cool psychic classes in it.

I'd say the strongest aspect of second edition is the psychic classes although I like the first edition ones a lot, too, such as the Human Calculator. And I liked the first edition nega more.
I do like the proximity rules but I'd say the game plays just as well without them.
So first edition has all the magic, monsters, and adventures right there in the book.
